Our colleagues from Ilej & Partners, in cooperation with Karanovic & Partners, acted as lead legal counsel to the founding shareholders of Robotiq.ai on the process of sale of their shares in the company to HCLSoftware, the software business division of HCLTech.
Robotiq.ai is a Zagreb-based provider of an enterprise robotic process automation platform, with clients including major banks, insurance groups and telecom providers. HCLSoftware announced its intent to acquire the company on 28 September 2026, with closing expected in November 2026.
The team advised the founding shareholders through all phases of the transaction, including the LOI phase, due diligence, and negotiation of the share purchase agreement and related transaction documents.
The matter builds on the team’s prior involvement in Robotiq.ai’s 2021 investment round led by J&T Ventures, providing continuity of institutional knowledge throughout the company’s development lifecycle, from early-stage investment through to exit.
